  13.                        BETA TEST AGREEMENT

  16. @001, referred to as "the developer" of a computer program 
  17. described as:

  20. @150, referred to as "the computer software"
  21.  
  22.  
  23. and @002, referred to as the "test-site" desire to enter into an 
  24. agreement whereby @002 will "beta-test" the computer software, IT 
  25. IS AGREED:

  28. That @001 will provide full working copies of the computer 
  29. software to test-site for beta-test.

  32. That test-site agrees that it will keep the existence of the 
  33. beta-test confidential, and will require that the users of the 
  34. software agree to this condition, and will use the software 
  35. otherwise in the ordinary course of the business of test-site.

  38. Test-Site acknowledges that the software is the property of and 
  39. is copyrighted by @001.

  42. Test-Site will keep a log of usage, and will provide the log to 
  43. @001 at regular intervals. @002 will report any failures of the 
  44. software to operate properly to Developer.

  47. @001 will have the right, after the close of usual business 
  48. hours, once monthly during the beta-test period, to make back-ups 
  49. of the computer program, and the reports and files generated by 
  50. the computer program. Any reports and files generated by the 
  51. program will be destroyed by @001 after the beta test and will 
  52. not be disclosed to any third parties.

  55. @001 reserves the right to recall the software at any time, and 
  56. to require @002 to permanently erase with a file wiping utility 
  57. that permanently erases files the software.

  60. @001 by releasing the software for beta test does not guarantee 
  61. support for the product.

  64. The beta-test period shall begin on @151 and is scheduled to end 
  65. on @002 may be extended by the parties upon agreement.

  71. As compensation for the services supplied by the beta-test site, 
  72. the beta-test site will be provided a copy of the final tested 
  73. and released version of the software with the same support as is 
  74. provided by @001 to its commercial customers. However, should 
  75. @001 determine not to release the software to the general public, 
  76. @002 may continue to use the final version delivered by @001, 
  77. unless @001 determines to recall the same as is provided herein.

  86. tested form. Accordingly, failures may occur, and data or other 
  87. results generated by the program may be inaccurate. Given that 
  88. this is a "test" of the software in consideration of the, TEST 
  89. SITE AGREES THAT IT WILL NOT MAKE ANY CLAIM BASED ON FAILURES 
  90. AGAINST DEVELOPER BASED ON THE FAILURE OF THE SOFTWARE TO CONFORM 
  91. TO ITS DESCRIPTION OR SPECIFICATIONS.
